End User Licence Agreement

Important – please read carefully

Notice to user – please read this agreement carefully. By using all or any part of the Fission system, you accept all the terms and conditions of this agreement. You are deemed to have entered into this agreement by entering and accessing the courses and associated material.

1 Definitions

In this agreement the following definitions are being used, singular as well as plural:

1.1 Agreement; this end user licence agreement, as may be renewed, modified and/or amended from time to time.

1.2 The Fission ‘System’; means the LCMS (Learning Content Management System) and any other software or Intellectual Content provided by Fission and any of its third party providers.

1.3 IPR; Any and all Intellectual Property Rights, including but not limited to copyrights, trademarks and patents.

1.4 Fission; means Medical Training Online Ltd trading as Fission Online, registered in England number 04476793

2 Agreement.

You hereby agree and acknowledge that this Agreement covers all your use of the System and furthermore you agree to be bound by these terms and conditions including any future versions.

3 IP Rights.

Fission and its suppliers own all Intellectual Property Rights within the System. Fission permits you to use the System only in accordance with the terms of this Agreement. Third party materials included in the System may be subject to other terms and conditions, typically found in a separate licence agreement or in a ‘read me’ file located near such materials

4 Licence and restrictions.

4.1 Licence. Subject to the terms of this agreement, Fission hereby grants you a limited personal, non-commercial, non-exclusive, non-assignable licence to access the specific content as purchased through the Fission System. Purchase of a licence does not in any way imply a right of ownership to any of the content or material within the System, which remains the IPR of its originators at all times.

4.2 You will not sell, assign, lease, distribute, export, import or otherwise grant rights to third parties with regard to the System or any part of its contents contained therein.

4.3 Indemnity – users of the System use the material contained in all parts of the System at their own risk entirely and Fission does not guarantee the accuracy of the content nor does Fission assume any responsibility for errors in the content provided by Fission or third parties. Fission and any of its representatives shall not be liable for any loss or damage suffered as a result of the use of the system and its contents; this will include but is not limited to direct loss, consequential loss and financial loss.

5 Permissions to use

5.1 The System (including the programming code, logos and motifs), are protected by copyright of Fission and its third party providers unless otherwise stated and no part may be reproduced in any form without their express permission or in accordance with the following.

5.2 Content may be downloaded where specifically indicated as such within the System for non-commercial purposes. Users of the System may use forms and other written material available for download for business or personal use and amend or alter them as required.

6 Removal of notices

6.1 You agree that you will not remove, obscure, make illegible or alter in any way any notices or indications of any Intellectual Property Rights on the System or on any material downloaded from the system for legitimate use..
